Terms of Service

Welcome to Kaku. These Terms of Service ("Terms") govern your access to and use of the Kaku mobile application and related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Kaku is an AI-powered event coordination application that helps you plan group events. The Service allows you to:

• Chat with an AI assistant to plan events such as brunches, dinners, movie nights, and other gatherings
• Add friends and their contact information to coordinate with
• Have the AI assistant reach out to your friends via SMS to gather availability, preferences, and confirmations
• Track the status of your plans from coordination through confirmation

2. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account

You must be at least 13 years of age to create an account. By creating an account, you represent that you meet this age requirement.

3. User Responsibilities

When using the Service, you agree to:

• Provide accurate contact information for friends you wish to coordinate with
• Only add friends who you have a genuine relationship with and who would reasonably expect to receive coordination messages from you
• Not use the Service to send spam, unsolicited messages, or harassing content
• Comply with all applicable laws and regulations
• Respect the privacy and consent of the friends you coordinate with

4. Acceptable Use

You may not use the Service to:

• Send messages to anyone who has not consented to receive them or who has opted out
• Transmit harmful, threatening, abusive, or otherwise objectionable content
• Impersonate any person or entity
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service for any commercial or bulk messaging purpose beyond personal event coordination
• Violate any applicable local, state, national, or international law

5. SMS Messaging

The Service sends SMS messages to your friends on your behalf as part of the event coordination process. By using this feature, you acknowledge that:

• You have the consent of the individuals you are coordinating with to receive these messages
• Standard message and data rates may apply to SMS messages
• Recipients can opt out of messages at any time by replying STOP
• SMS messaging is governed by our SMS/Messaging Terms

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Kaku. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of the content you provide to the Service (such as plan details and messages). By using the Service, you grant us a limited license to use this content solely to operate and improve the Service.

7. AI-Generated Content

The Service uses artificial intelligence to generate messages and coordinate plans. While we strive for accuracy and helpfulness, AI-generated content may sometimes be inaccurate or incomplete. You acknowledge that:

• AI responses are generated automatically and may not always be perfect
• You are responsible for reviewing plans and confirmations
• Kaku is not liable for errors in AI-generated messages or coordination

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

• The Service will be uninterrupted, timely, secure, or error-free
• SMS messages will be delivered to all recipients
• AI-generated coordination will always produce optimal results
• The Service will meet your specific requirements

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KAKU, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Service
• Any unauthorized access to or alteration of your data
• Undelivered or delayed SMS messages
• Errors in AI-generated content or coordination
• Any other matter related to the Service

10. Indemnification

You agree to indemnify, defend, and hold harmless Kaku and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account data in accordance with our Privacy Policy
• Sections of these Terms that by their nature should survive termination will survive

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and SMS/Messaging Terms, constitute the entire agreement between you and Kaku regarding the Service.
